Ticari işletmenin tespiti açısından esnaf işletmesi kavramının değerlendirilmesi

Abstract

Ticari işletme, Türk Ticaret Kanunu’nun temel kavramıdır. Kanun bu kavramı tanımlamıştır. Tanımda yer alan en önemli unsur, ticari işletmede gerçekleştirilen faaliyetlerin, esnaf işletmesi sınırını aşmasıdır. Kanun esnaf işletmesini tanımlamamaktadır. Türk Ticaret Kanunu ve diğer bazı yasal düzenlemelerde esnaf kavramı tanımlanmaktadır. Kanunda esnafın tanımlanması, esnaf işletmesinin dolaylı olarak anlaşılmasına hizmet etmektedir. Bu makalede esnaf işletmesi kavramı, ticari işletmenin anlaşılmasına hizmet etmek amacıyla, incelenecektir. Çalışmada tartışılan temel, esnaf kavramının Türk Ticaret Kanunu ve diğer Kanunlarda farklı tanımlanmış olmasıdır. Diğer Kanuni düzenlemeler özellikle vergiye ilişkin düzenlemelerle, meslek örgütlerine ilişkin düzenlemelerdir. Çalışmada belirtilen çatışma çözülmeye ve Türk Ticaret Kanunu anlamında esnaf işletmesi kavramının kapsamı belirlenmeye çalışılacaktır

The basic concept of the Turkish Commercial Code is commercial enterprise. The Turkish Commercial Code defi nes this concept. The most important element in the legal defi nition is that commercial activities should exceed the limit of enterprise of tradesman and craftsman. However, enterprise of tradesman and craftsman is not defi ned in the Law. Instead, the concept of tradesman and craftsman is defi ned in the Turkish Commercial Code and some other Codes. Identifi cation of tradesman and craftsman serves understanding of the concept of enterprise tradesman and craftsman indirectly. In this article, the concept of enterprise of tradesman and craftsman is examined in order to understand commercial enterprise. The main problem discussed in this study is various defi nitions of the concept of tradesman and craftsman in the Turkish Commercial Code and the other legal regulations. The Other legal regulations are especially related to tax legislation and to organizations of professional association. In this study, it is tried to solve aforementioned confl ict and to determine the frame of enterprise of tradesman and craftsman in terms of Turkish Commercial Code
